Terms of Service
Last updated: October 14, 2026
These Terms of Service (“Terms”) are an agreement between you (the merchant installing an App, or a visitor to teroyn.com) and [BUSINESS NAME] (“Teroyn”, “we”). By installing or using a Teroyn app (“App”) or this website you agree to these Terms. If you use an App on behalf of a business, you confirm you can bind that business.
1. The Apps
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Apps for your Shopify store during your subscription. You must comply with these Terms, Shopify’s terms and applicable law, and you must not misuse, reverse engineer, resell, overload or interfere with the Apps. Features may change over time; we will not materially reduce the core function of a paid plan during a paid billing period.
2. Shopify and third-party platforms
The Apps run on Shopify and rely on Shopify’s APIs and other third-party services (for example Google Merchant Center or WhatsApp). We do not control those services and are not responsible for their availability, changes, fees or policies. Your use of Shopify is governed by Shopify’s own terms.
3. Billing, trials and cancellation
Paid plans are billed by Shopify in your Shopify invoice, at the price and interval shown when you approve the charge. If an App offers a free trial, the trial length is shown before you approve; you are not charged if you uninstall before the trial ends. Subscriptions renew automatically each billing period until you cancel. You can cancel any time by uninstalling the App; billing stops from the next cycle, and fees already charged are non-refundable except where required by law or at our discretion. We will give at least 30 days’ notice of price increases through the App or by email. Taxes are handled by Shopify as applicable.
4. Your data
You keep all rights to your store data. You let us process it only to provide and support the Apps, as described in our Privacy Policy. You are responsible for having a lawful basis and notices for the customer data you collect through your store.
5. Intellectual property and feedback
We own the Apps, this website and the Teroyn name. If you send feedback, we may use it without obligation to you.
6. Copyright (DMCA)
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to the designated agent listed on our Contact & Legal page.
7. Disclaimer of warranties
THE APPS AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE APPS WILL BE UNINTERRUPTED, ERROR-FREE OR INCREASE YOUR SALES.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APPS OR THESE TERMS IS LIMITED TO THE GREATER OF THE FEES YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.
9. Indemnity
You will defend and indemnify us against third-party claims arising from your store, your content or your breach of these Terms.
10. Termination
You may stop using an App at any time by uninstalling it. We may suspend or end access if you breach these Terms or if required by Shopify or law. Sections 4–12 survive termination.
11. Governing law and disputes
These Terms are governed by the laws of the State of [STATE] and applicable US federal law, without regard to conflict-of-law rules. Courts located in [COUNTY, STATE] have exclusive jurisdiction, except as stated below.
[OPTIONAL — ARBITRATION AND CLASS-ACTION WAIVER: keep, edit or delete this paragraph. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and you and Teroyn waive any right to a jury trial or to take part in a class or representative action. Either party may bring qualifying claims in small-claims court. You may opt out within 30 days of first accepting these Terms by emailing [email protected].]
12. General
These Terms and our Privacy Policy are the entire agreement on this subject. If a provision is unenforceable, the rest stays in effect. We may update these Terms by posting a new version here; material changes take effect 30 days after notice. You may not assign these Terms without our consent.
